User Agreement

1. ACCEPTANCE OF TERMS

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you must not use the App.

2. ELIGIBILITY

The App is intended for users aged 17 years and older. By using the App, you represent and warrant that you are at least 17 years of age. If you are under 17, you may not use the App.

3. DESCRIPTION OF SERVICE

Ula is an AI-powered photography analysis and commentary application that provides the following features:

• Photo Upload: Upload your photographs to the App
• AI-Generated Analysis: Receive AI-generated photography composition analysis
• Lighting Commentary: Get detailed commentary on lighting and shadows in your photos
• Shooting Suggestions: Obtain personalized shooting tips and recommendations
• Location Services: With your permission, location data may be used to enhance recommendations

4. ACCOUNT REGISTRATION

4.1 Account Creation

To use certain features of the App, you must create an account by providing:

• Your name
• A username
• A valid email address

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5. USER CONTENT

5.1 Your Photos

You retain all ownership rights to the photos you upload to the App. By uploading photos, you grant us a limited, non-exclusive, royalty-free license to process your photos solely for the purpose of providing AI-generated analysis and commentary.

5.2 Content Guidelines

You agree not to upload photos that:

• Violate any third party's rights, including intellectual property rights
• Contain illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Contain viruses or other harmful computer code
• Violate any applicable laws or regulations

5.3 Content Processing and Deletion

• Uploaded photos are processed one-time to generate AI analysis
• Photos are automatically deleted from our servers after processing
• Photos are not used for AI model training or marketing purposes
• By default, photos are stored locally on your device

6. PROHIBITED CONDUCT

You agree not to:

• Use the App for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties
• Attempt to gain unauthorized access to the App or its related systems or networks
• Interfere with or disrupt the App or servers or networks connected to the App
• Use any robot, spider, scraper, or other automated means to access the App
• Reverse engineer, decompile, or disassemble any portion of the App
• Remove, circumvent, disable, damage, or otherwise interfere with security-related features
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Our Rights

The App and its entire contents, features, and functionality are owned by Ula Team, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to this Agreement.

7.3 AI-Generated Content

The AI-generated analysis and commentary provided by the App are for informational and educational purposes only. You may use the generated content for personal purposes, but you may not claim ownership of the AI analysis methodology or algorithms.

8. DISCLAIMER OF WARRANTIES

WE DO NOT WARRANT THAT:

• The App will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App will meet your requirements

9. LIMITATION OF LIABILITY

Our total liability to you for all claims shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the liability.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ula Team and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

• Your violation of this Agreement
• Your use of the App
• Your violation of any rights of another
• Your content or photos uploaded to the App

11. TERMINATION

11.1 Termination by You

You may terminate this Agreement at any time by deleting your account and discontinuing use of the App.

11.2 Termination by Us

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach this Agreement.

11.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• We will delete your personal information within 30 days in accordance with our Privacy Policy
• All provisions of this Agreement which by their nature should survive termination shall survive

12. MODIFICATIONS TO THE APP AND AGREEMENT

12.1 Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the App.

12.2 Modifications to the Agreement

We may revise and update this Agreement from time to time at our sole discretion. All changes are effective immediately when posted. Your continued use of the App following the posting of revised terms means that you accept and agree to the changes.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Ula Team primarily operates, without regard to its conflict of law provisions.

13.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the arbitration rules of the jurisdiction where Ula Team primarily operates.

13.3 Waiver of Class Actions

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.4 Waiver of Jury Trial

You and we waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury.

14. MISCELLANEOUS

14.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and us regarding the use of the App.

14.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

14.3 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement at any time without notice or consent.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control.
